Terms of Service

§ 1 Scope and contracting parties

(1) These terms of service govern the contractual relationship between App Dealer 365 GmbH, Kurt-Zieger-Weg 2, 14532 Stahnsdorf, Germany (the “Provider”) and the users (“User”) of the services available at tera-one.de and dashboard.tera-one.de, as well as of the bot operated on Discord under the name “TeraOne” (collectively the “Service”).

(2) Any deviating or conflicting terms of the User shall not become part of the contract unless the Provider has expressly agreed to their application in writing.

(3) The Service is aimed exclusively at natural persons of legal age and at legal entities. Minors may only use the Service with the consent of a legal guardian.

§ 2 Description of services

(1) The Provider offers a Discord bot including a web-based dashboard for configuration. Depending on the module activated, features include moderation tools, welcome messages, auto-roles, reaction roles, audit logs, YouTube notifications, a leveling system, anti-alt detection, and the provision of one custom bot per Discord server.

(2) The feature set may be extended, changed, or reduced over time. There is no entitlement to the continued existence of individual features.

(3) The Service requires an account with Discord Netherlands B.V. (“Discord”). Use of Discord is governed exclusively by the then-current terms and guidelines of Discord Netherlands B.V.

§ 3 Fees

(1) Use of the Service is currently free of charge. The Provider reserves the right to make individual features or the service as a whole chargeable in the future. Already enabled features remain available free of charge to existing users to the extent previously enabled, provided the Provider publicly confirms this at the time of the change.

(2) The Provider will announce the introduction of fee-based features with reasonable advance notice.

§ 4 Registration and access

(1) Zur Nutzung des Dashboards meldet sich der Nutzer über den OAuth2-Login von Discord an. Der Anbieter erhält dabei ausschließlich die über den OAuth2-Scope freigegebenen Informationen, insbesondere Discord-Benutzer-ID, Benutzername und Avatar sowie die Liste der Server, auf denen der Nutzer administrative Berechtigungen besitzt. (2) The User is required to keep Discord credentials safe and not to make them available to third parties.

(3) Inviting the bot to a Discord server requires the inviting user to have the necessary permissions on that server. The Provider does not verify these conditions and accepts no liability for invitations made in violation of internal server rules or Discord's own guidelines.

§ 5 User obligations

(1) Der Nutzer verpflichtet sich, den Dienst nur im Rahmen der geltenden Gesetze und unter Beachtung der Nutzungsbedingungen sowie der Community-Richtlinien von Discord (https://discord.com/terms, https://discord.com/guidelines) zu nutzen.

(3) The User shall ensure that all persons whose data is processed through use of the Service are informed of the processing to the extent required, and that the use of the Service complies with the applicable data protection law, in particular the GDPR.

(4) If the User uses the “custom bot” feature and supplies their own bot token, the User alone is responsible for ensuring that the use of this bot token complies with Discord's terms. In this case, the Provider operates the custom bot technically, but does not act as operator within the meaning of Discord's guidelines.

§ 6 User content

(1) Content created or configured by the User via the Service (e.g. welcome texts, rank-card backgrounds, reaction-role embeds, automod rules) remains the property/copyright of the User.

(2) The User grants the Provider a simple, unlimited in time and territory right to store, technically reproduce, deliver and display such content for the purpose of operating the Service towards the users of the respective Discord server.

(3) The User warrants that they hold the necessary rights to the content they upload and do not infringe third-party rights (in particular copyright, trademark or personality rights). For culpable infringements, the User indemnifies the Provider against third-party claims.

§ 7 Availability, maintenance, changes

(1) The Provider endeavours to operate the Service with high availability but owes no particular availability quota. Maintenance, disruptions on Discord's side, outages of third-party services or force majeure may lead to temporary limitations.

(2) The Provider may develop the Service further at any time, adjust, restructure or discontinue individual features. Where material features are permanently discontinued, the Provider will announce this within a reasonable time in advance, as far as technically and organisationally possible.

§ 8 Suspension and removal

(1) The Provider reserves the right to exclude users from the Service without notice and to remove the bot from individual Discord servers without prior notice if the User breaches these terms, technical misuse is detected, or the User's conduct threatens the integrity or stable operation of the Service.

(2) In the event of a suspension, the User has no right to the restoration of individual configurations or the continuation of running modules.

§ 9 Liability

(1) The Provider is liable without limitation for intent and gross negligence, as well as for injury to life, body or health. For simple negligence, the Provider is not liable, except in the case of breach of material contractual obligations (so-called cardinal duties). Material contractual obligations are those the fulfilment of which enables the proper performance of the contract in the first place and on whose observance the User may regularly rely. For breach of a cardinal duty by simple negligence, liability is limited to the contractually typical, foreseeable damage.

(2) Liability under the Product Liability Act remains unaffected.

(3) Insofar as the Service is provided free of charge, the Provider — notwithstanding paragraph 1 — is liable only for intent and gross negligence (§ 599 of the German Civil Code applied analogously).

(4) The Provider is not liable for content distributed by Users or third parties via the Service, nor for disruptions caused on the side of Discord Netherlands B.V., the User's Internet Service Provider, or other third-party services.

§ 10 Data protection

§ 11 Term and termination

(1) The user relationship starts with first use of the Service and runs for an indefinite period.

(2) The User may terminate the user relationship for convenience at any time by removing the bot from all Discord servers they manage and, where applicable, by no longer using the dashboard account. An additional declaration to the Provider is not required.

(3) The Provider may terminate the user relationship for convenience with 14 days' notice to the end of the month. The right to extraordinary termination for good cause — in particular in the event of breaches under §§ 5 and 8 of these terms — remains unaffected.

(4) After termination, server-related data is routinely deleted in accordance with the privacy policy, unless a statutory retention obligation applies.

§ 12 Changes to these terms

(1) The Provider is entitled to amend these terms with effect for the future if this is necessary for good cause (e.g. changes in the legal framework, supreme-court rulings or material changes to the feature set), provided this does not create a not-insignificant imbalance of contractual rights and duties to the detriment of the User.

(2) The Provider will inform the User of changes via a notice in the dashboard or by e-mail. If the User does not object to the changes within six weeks of receipt of the notice, the amended terms shall be deemed accepted. This legal consequence will be separately highlighted in the notice.

§ 13 Final provisions

(1) German law applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection provisions of the state in which the User has their habitual residence remain unaffected.

(2) If the User is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contractual relationship shall be the Provider's place of business.

(3) Die Europäische Kommission stellt unter https://ec.europa.eu/consumers/odr eine Plattform zur Online-Streitbeilegung (OS-Plattform) bereit. Der Anbieter ist nicht bereit und nicht verpflichtet, an Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle teilzunehmen.

(4) Should individual provisions of these terms be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision whose effects come closest to the economic objective that the contracting parties pursued with the invalid or unenforceable provision. The same applies to any contractual gaps.
